These Subscription Terms apply when you purchase Agentmark Amplify or another paid Agentmark subscription from Veonia LLC dba TitleCapture ("we," "us," or "our"). They supplement the Agentmark Terms of Service and Privacy Policy. If these Subscription Terms conflict with the Terms of Service on a matter specific to your paid subscription, these Subscription Terms control.

1. Subscription and Features

Your subscription provides the paid features identified at purchase and any additional features we make available for your plan. We may add, modify, replace, or discontinue features from time to time. If we discontinue Amplify entirely during a prepaid period, we will end the subscription and refund the unused portion without requiring a cancellation request. If we materially remove core paid functionality during a prepaid period without a reasonably equivalent replacement, you may cancel and receive a refund of the unused portion. Routine changes, redesigns, and equivalent replacements do not trigger this remedy.

2. Price and Billing

The price, billing interval, taxes, and any promotional terms are shown before you complete your purchase, and the price shown at checkout is your subscription price. By purchasing, you authorize us and our payment processor to charge your payment method on a recurring basis at that interval until your subscription is canceled or ends. Creating an Agentmark account or connecting to a title company does not by itself create a paid subscription.

3. Automatic Renewal

Unless stated otherwise at purchase, your subscription renews automatically at the end of each billing period for another period of the same length until you cancel. Your purchase confirmation states the renewal price and interval and how to cancel. We will send any renewal reminders required by law.

4. Cancellation

You may cancel at any time through the billing settings in your Agentmark account or by contacting support through in-app chat or support@agentmark.com. No phone call, explanation, or retention conversation is required. Cancellation stops future renewals when you submit it through your billing settings or when we receive it through the support channels above, without requiring staff acknowledgement. Paid access continues through the end of your current paid period unless you close your account or access is suspended or terminated under the Terms of Service. We will correct any renewal charge caused by our delay in processing a timely cancellation. Cancellation does not eliminate charges properly incurred before it. Closing your Agentmark account also cancels your subscription. Canceling Amplify does not close your account; you keep your free professional identity under the Terms of Service.

5. Refunds

Subscription charges are non-refundable, and we do not prorate or credit partial periods, except (a) as stated in Sections 1 and 10, (b) where we confirm a duplicate or erroneous charge, which we will correct, or (c) where a refund is required by law.

6. Trials and Promotions

Any trial, promotional price, or discount is governed by the terms shown with the offer. A trial converts to a paid recurring subscription only if, when enrolling, you affirmatively authorized the disclosed conversion date, recurring price, billing interval, and cancellation terms; once authorized, it converts automatically at the disclosed price when the trial ends unless you cancel before then. We will send any pre-conversion reminder required by law. Offers may be limited and may not be combined.

7. Price Changes

We may change subscription pricing prospectively. We will give at least thirty (30) days' notice before a price increase applies to your renewal, stating the new price, the effective date, and how to cancel, and we will provide any additional notice or obtain any consent required by applicable law. You may cancel before the increase takes effect; continuing your subscription after that date constitutes acceptance of the new price.

8. Payment Failure

If a payment fails, we may retry your payment method, request updated payment information, suspend paid features, or cancel the subscription. You remain responsible for charges properly incurred for periods in which paid access was provided. A failed Amplify payment does not by itself affect your free Agentmark account.

9. Title Companies and Brokerages

Amplify is purchased directly from Veonia and is separate from any title company's TitleCapture subscription. A connected title company has no right to any portion of your subscription fees unless separately agreed in a signed writing. Neither the free Agentmark account nor Amplify requires you to refer settlement-service business to any provider, and changing your title-company connection does not affect your subscription. We may enter into separate lawful commercial arrangements with brokerages or other third parties; they do not change your charges.

10. Termination of Paid Service

We may suspend or terminate your paid subscription for nonpayment, fraud, unlawful use, material violation of the Terms of Service, or security risk. No refund is owed for termination resulting from your nonpayment, fraud, unlawful use, or material breach, except as required by law. If we terminate your paid subscription for any other reason before the end of a paid period, we will refund the unused portion of that period.

11. Taxes

You are responsible for applicable sales, use, value-added, and similar taxes we are required to collect, excluding taxes on our net income.

12. Disputes; General

The dispute-resolution, arbitration, class-action-waiver, disclaimer, limitation-of-liability, and other general provisions of the Agentmark Terms of Service apply to your subscription. For billing or subscription questions, use in-app chat or contact support@agentmark.com. Do not include full payment-card or bank details in messages.
